PledWell Terms of Use
Effective date: October 17, 2026
IMPORTANT NOTICE ABOUT DISPUTES: Section 15 requires that disputes between you and PledWell be resolved through an individual meet-and-confer process and then by binding individual arbitration before JAMS, and it waives jury trials and class, collective, representative, and mass arbitration proceedings. You may opt out of arbitration within 30 days of first accepting these Terms by emailing afiorilla@codraftai.com. Please read Section 15 carefully. Section 5 explains that PledWell uses prompts, responses, and uploaded materials to train its AI models: do not upload confidential or protected material to PledWell.
These Terms of Use govern access to the website at codraftai.com and the related platform, applications, and services operated by PledWell, Inc. ("PledWell," "we," "us," or "our"), including services offered under the CoDraft name (collectively, the "Services"). Our mailing address is 29 Chase Road, PO Box #234, Scarsdale, New York 10583.
1 Acceptance and customer authority
By affirmatively accepting these Terms or signing an order that incorporates them, you agree to these Terms. If you accept on behalf of a law firm or other organization, you represent that you have authority to bind that organization. "Customer" means that organization or, for an individual subscription, the subscribing lawyer. "User" means a person Customer authorizes to access the Services. Customer is responsible for its Users' compliance.
A signed agreement expressly superseding these Terms controls over conflicting provisions. A data processing agreement controls with respect to its subject matter, and an accepted order controls the subscription, pricing, and scope specified in that order. The Privacy Policy explains personal-information practices, including the use of prompts, responses, and uploaded materials to train our AI models described in Section 5.
2 Eligibility and accounts
The Services are for lawyers, law firms, and their authorized personnel working under lawyer supervision. Users must be at least 18 and authorized to perform their assigned activities. Public website access does not authorize use of professional platform features.
Provide accurate account, firm, and billing information and keep it current. Credentials are assigned to individual Users and may not be shared. Protect credentials and promptly report suspected unauthorized access to afiorilla@codraftai.com. Customer is responsible for its access permissions and its Users' authorized activities. Users understand that firm-managed accounts and shared workspaces may be administered by Customer and that firm-shared materials may be available to authorized colleagues.
3 Services and professional responsibilities
The Services may help discover potential matters, monitor breach and regulatory activity, investigate facts, organize matters, generate drafts, manage alerts, and support approved integrations. Features and usage limits depend on Customer's order and the functionality actually enabled.
PledWell provides software and information services. It is not a law firm and does not undertake to represent Customer or Customer's clients. Using the Services does not create an attorney-client relationship with PledWell. Customer retains control of its legal practice and all professional judgments.
AI-generated content and research may contain invented authorities, inaccurate facts, outdated law, omissions, bias, or other errors. Before relying on any result, a qualified lawyer must independently verify facts, authorities, quotations, jurisdiction, standing, deadlines, pleading requirements, redactions, and the suitability of the work for the matter. Customer remains responsible for professional duties, client consent, conflicts, confidentiality, preservation, and compliance with applicable court and bar rules.
Generating, downloading, saving, or marking a complaint as ready does not file it, commence a proceeding, establish service, or toll a deadline. Filing assistance, if expressly offered, requires a separate authorized instruction and the applicable feature terms. Customer must review the final document, authorize any submission, verify court acceptance and service, and maintain its own deadline controls. PledWell does not guarantee that a filing integration or external docket will be available or accurate.
Case scores, investigative leads, public-source reports, and dark web signals require corroboration. They do not establish that a person has a claim or that a company committed wrongdoing. No discovery lead is exclusive unless expressly agreed in writing. We do not guarantee a recovery, certification, particular litigation result, or filing priority.
4 Customer content and permitted processing
"Customer Content" includes Customer's drafting prompts and instructions, limited plaintiff information such as a name and address or a name and county, general facts supplied for a complaint or drawn from public case sources, case selections, and outputs generated for Customer. The Services do not collect or maintain client files or health records. As between Customer and PledWell, Customer retains its rights in its inputs and owns any rights PledWell can assign in Customer-specific outputs. PledWell assigns those rights to Customer, subject to underlying third-party rights. AI outputs may lack legal protection or resemble independently generated material; we do not promise exclusivity or noninfringement.
Customer authorizes us to host, copy, transmit, process, and display Customer Content as reasonably necessary to perform Customer's instructions, provide and support the Services, protect security, and comply with law. This includes authorized processing through cloud, AI, document-generation, email, and integration providers. We will use suitable contractual safeguards for providers processing Customer Content on our behalf. Processing-provider access does not itself authorize independent model training or advertising use.
Customer represents that it has the rights and lawful authority required to provide the limited plaintiff information and other Customer Content needed for the requested feature. Do not upload confidential or protected material to PledWell. Customer must limit submissions to basic identifying details and relevant general case facts and must not submit client files, privileged communications, attorney work product it intends to keep confidential, protected health information, material subject to a protective order or confidentiality agreement, or any material it has no authority to disclose or to permit PledWell to use under Section 5. A plaintiff's name or address supplied before filing may still be nonpublic; a future public filing does not by itself authorize every present use.
5 AI training and improvement
Training on Customer Content. Customer agrees that PledWell may use the prompts and instructions submitted to the Services, the responses and documents the Services generate, and any materials uploaded to the Services to develop, evaluate, improve, and train PledWell's AI models. This permission is part of these Terms, is granted when Customer accepts them, and applies to Customer Content submitted while they are in effect. PledWell may also use lawfully available public sources whose use respects applicable confidentiality and intellectual-property obligations.
Do not upload confidential or protected material. Because Customer Content is used for training, Customer must not submit confidential or legally protected material to PledWell, including client files, privileged communications, work product it intends to keep confidential, protected health information, and material subject to a protective order or confidentiality agreement. Customer is responsible for determining what it may submit consistent with its professional obligations and any required client permissions, and confirms that it has authority to grant the permission in this Section for everything it submits.
Limits. PledWell will not disclose Customer Content itself to unrelated customers, sell it as a dataset, or use it for cross-context behavioral advertising. PledWell may apply deidentification or filtering measures before training but does not promise to do so. Any permission for an independent third-party model provider to train its own models on Customer Content must be specifically disclosed and authorized. Training outputs are not attributed to Customer, and Customer's ownership of its own inputs and outputs under Section 4 is unaffected.
Withdrawal. Customer may ask PledWell to stop using its future Customer Content for training by emailing afiorilla@codraftai.com. PledWell will stop adding affected content to new training datasets from the date of the request. Information already incorporated into a trained model cannot be removed from that model; PledWell will address existing datasets as required by law.
6 Confidentiality and security
Customer Content and nonpublic business, technical, or professional information reasonably understood to be confidential are "Confidential Information." The receiving party will use it only for the purposes authorized under these Terms (including the training use in Section 5) or a separate written authorization, protect it with reasonable care, and restrict disclosure to people and providers who need access and are bound by suitable confidentiality obligations.
Confidential Information excludes information the receiving party can demonstrate was already lawfully known without a duty of confidence, independently developed without using the disclosing party's information, lawfully received without restriction, or made public without a breach of duty. A public fact does not make confidential prompts, strategy, annotations, or work product public.
PledWell will not disclose Customer Content to unrelated customers, sell it as a dataset, or use it for cross-context behavioral advertising. PledWell will use reasonable administrative, technical, and organizational safeguards appropriate to the information. Specific security commitments, if any, are stated in the signed customer agreement or applicable security addendum. No system is completely secure.
We may disclose information when legally required. Where lawful and reasonably practicable, we will notify Customer before disclosing its Confidential Information and reasonably cooperate with efforts to obtain protective treatment. We will notify Customer of a confirmed unauthorized disclosure of its Customer Content without undue delay, subject to applicable law and any agreed incident terms.
Drafting instructions, unfiled results, and firm case selections may contain nonpublic work product even when they use public facts. Customer should assume that material submitted to the Services will be used as described in Section 5 and should not submit material whose protection depends on it never being used that way. PledWell cannot guarantee a court's treatment of submitted information. Confidentiality duties survive termination for as long as the information remains protected.
7 Acceptable use
Customer and Users must not:
- Violate law, court rules, professional obligations, privacy, confidentiality, or intellectual-property rights.
- Fabricate evidence, knowingly file unsupported content, impersonate others, or use the Services for deceptive solicitations.
- Bypass permissions, probe accounts without authorization, interfere with the Services, introduce malicious code, or expose credentials.
- Scrape or redistribute the platform's databases at scale, resell access, or use protected platform content to create a competing service without permission.
- Reverse engineer the Services except to the extent a restriction is prohibited by law, or circumvent agreed usage limits.
- Use research or leads to harass individuals or make eligibility, employment, credit, insurance, or similar consequential decisions without appropriate authority and required safeguards.
Customer may use its own lawful Customer Content and generated work product in its practice and proceedings. These restrictions do not prevent that authorized use.
8 Third party integrations
Customer may authorize an enabled third-party connection. We may receive and transmit only the information needed for that feature and Customer's authorized instructions. Customer must have authority to connect the relevant account and approve actions taken through it.
Third parties control their own availability, charges, and independent data practices. The feature's terms and notices will disclose any material additional processing before it is enabled. An integration does not expand the ordinary scope of plaintiff information described in Section 4.
Any separately enabled advertising tools require Customer to approve the campaign, budget, and lawful content. Customer remains responsible for applicable professional advertising and contact rules. Third-party advertising spend and other charges are separate from subscription fees unless an order states otherwise.
Disconnecting a connection may stop future access without immediately removing historical workflow records. Deletion follows the applicable instructions, retention schedule, and law.
9 Fees subscriptions and cancellation
Prices, currency, term, included usage, overage charges, taxes, payment schedule, and trial conditions will be disclosed in the accepted order or checkout before purchase. Customer authorizes charges to its chosen payment method only as disclosed and agreed. Payment processing may be performed by a third-party processor.
A subscription automatically renews only where Customer has separately agreed to the disclosed renewal arrangement. The purchase flow must state the renewal term, amount or calculation, frequency, and cancellation method. Required renewal reminders and price-change notices will be provided. A trial will convert to paid service only if that conversion and charge were clearly disclosed and affirmatively accepted before the trial began.
Customer may stop renewal from the Account page or by emailing afiorilla@codraftai.com before renewal. Cancellation takes effect at the end of the paid period unless the order or applicable law provides otherwise. Unless an order or law provides otherwise, fees for an elapsed or partially used subscription period are nonrefundable. We will correct erroneous charges and provide legally required refunds. We will not apply an increased subscription price to a prepaid period; changes for renewal will be disclosed with a reasonable opportunity to cancel.
For overdue undisputed fees, we may suspend access after written notice and a reasonable opportunity to pay. Customer may raise a good-faith billing dispute by emailing afiorilla@codraftai.com. Nothing here overrides mandatory automatic-renewal, cancellation, notice, or payment protections.
10 Service changes suspension and termination
We may maintain, update, or modify the Services. Material removal of paid functionality during a committed term will be addressed under the accepted order or, if no remedy is stated, by a reasonable replacement or termination of the affected service with a refund of unused prepaid fees.
We may suspend access to address a material breach, unlawful activity, or a material security risk. Where reasonably practicable, we will give notice and an opportunity to remedy the issue and limit suspension to what is needed. Either party may terminate for the other's material breach remaining uncured 30 days after written notice, or earlier where the breach cannot be cured or law requires it. Customer may terminate or cancel as permitted by its order.
Except where prohibited by law or necessary to address a security risk, Customer may request an export of available Customer Content for 30 days after termination. Subsequent deletion and backup handling follow the agreed retention schedule, lawful preservation requirements, and applicable data processing agreement. Customer should maintain its own copies of professional records. Termination does not extinguish accrued payment obligations or provisions intended to survive, including confidentiality, ownership, and dispute provisions.
11 Intellectual property and feedback
PledWell and its licensors retain rights in the Services, software, interfaces, branding, and platform materials, other than Customer Content. Customer receives a limited right to use the Services for its authorized professional activities during the subscription term.
Customer may provide suggestions or feedback. We may use voluntarily supplied product suggestions to improve the Services without compensation. Feedback does not include confidential case material or grant any training permission beyond Section 5. We will obtain Customer's permission before publicly using its name, logo, testimonial, or identifiable work product.
12 Warranties and disclaimers
PledWell will use reasonable care in providing the Services and comply with its express confidentiality, data-processing, and security obligations. Except for express promises in these Terms or an accepted agreement, the Services and AI outputs are provided "as is" and "as available" to the extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent legally permitted.
We do not warrant uninterrupted operation, comprehensive detection, complete source coverage, accurate AI output, or suitability of a draft for filing without professional review. These disclaimers do not excuse breach of an express contractual obligation or waive rights or liabilities that cannot lawfully be excluded.
13 Liability
To the extent permitted by law, neither party is liable to the other for indirect, special, incidental, or consequential losses, including lost profits or opportunities, arising from these Terms. Except as stated below, each party's total liability arising from the Services is limited to the greater of the fees paid or payable by Customer for the affected Services in the preceding 12 months or $1,000.
For breach of confidentiality or data-security/data-processing obligations, the aggregate cap is the greater of twice those 12-month fees or $25,000. The exclusions and caps do not apply to fraud, willful misconduct, gross negligence, Customer's payment obligations, or liability that cannot be limited by law. Nothing limits a regulator's authority, mandatory privacy remedies, or an individual's nonwaivable statutory rights. These caps apply only where enforceable under the governing law.
14 Third party claims
Customer will defend PledWell against a third-party claim caused by Customer's unlawful instructions, lack of rights to submitted material, or unauthorized use of an enabled integration, and pay resulting damages and reasonable defense costs finally awarded or agreed in settlement. This duty does not apply to the extent the claim is caused by PledWell's breach, negligence, or misconduct.
PledWell must promptly notify Customer, permit Customer to control the defense with suitable counsel, and reasonably cooperate at Customer's expense. Customer may not agree to a settlement that admits fault by PledWell, requires PledWell to take nonmonetary action, or does not fully release PledWell without its written consent, not unreasonably withheld.
15 Governing law and disputes
Governing law. New York law governs these Terms, excluding conflict-of-law rules, subject to any mandatory law that applies regardless of this choice. The Federal Arbitration Act governs the interpretation and enforcement of this Section 15.
Individual meet-and-confer before any claim. Before either party files an arbitration demand or lawsuit, the party raising the dispute must send the other a written notice describing the dispute, the facts, and the relief requested, with the name, firm, and account email of the person raising it (to PledWell at afiorilla@codraftai.com; to Customer at its account contact). Within 30 days of the notice, the parties will hold an individual, good-faith conference by telephone or video to try to resolve the dispute. The individual raising the dispute, or an authorized representative of the Customer organization, must personally attend the conference. Counsel may participate, but the conference is between the parties to that dispute only and may not be combined with any other person's conference. Any statute of limitations is tolled from the date of the notice until 30 days after the conference. A demand or complaint filed without completing this process will be dismissed or stayed until it is completed, and the party that filed it must pay any resulting administrative fees.
Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between the parties that is not resolved through the conference will be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, or its Streamlined Rules for claims under $250,000, as in effect when the demand is filed. The seat of arbitration is Westchester County, New York. Hearings will be held by video conference unless the arbitrator finds an in-person hearing necessary, in which case it will be held in Westchester County. A single arbitrator will be appointed under the JAMS rules, will apply New York substantive law, and may award any relief a court could award to the individual party, but only in favor of and to the extent needed to provide relief to that party. The arbitrator's award is final and binding and may be entered in any court of competent jurisdiction.
Class, representative, and jury waiver. Each party may bring claims against the other only in its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate more than one party's claims or preside over any form of class or representative proceeding. Each party waives any right to a jury trial. If the class waiver in this paragraph is found unenforceable as to a particular claim for relief, that claim, and only that claim, will be severed and decided by a court, and the remaining claims will be arbitrated; the parties agree that a court, not the arbitrator, decides the enforceability of this paragraph and the mass-arbitration paragraph below.
No mass arbitration. The parties agree that demands may not be filed or coordinated on a mass basis. If 25 or more arbitration demands raising similar claims are filed against PledWell by or with the assistance of the same or coordinated counsel, or in a coordinated manner, then: each claimant must separately complete the meet-and-confer process above; the demands will be administered in staged groups, with the first group consisting of 10 demands selected by the claimants and 10 selected by PledWell, resolved before any further demands proceed; no filing or administrative fees are due for demands outside the active group, and the limitations period for those demands is tolled while they wait; after each group concludes, the parties will participate in a mediation of the remaining demands before the next group begins; and the arbitrator for one demand has no authority over any other. A court may enforce this paragraph by injunction. If this paragraph is found unenforceable, the affected demands will proceed in court, not in arbitration, on an individual basis.
Fees. Arbitration fees are allocated under the JAMS rules. For a claim by a Customer seeking $10,000 or less, PledWell will pay the JAMS filing, administrative, and arbitrator fees above $250, unless the arbitrator finds the claim frivolous. Each party bears its own attorneys' fees except where a statute or the JAMS rules provide otherwise.
30-day opt-out. Customer may opt out of the arbitration provisions of this Section by emailing afiorilla@codraftai.com within 30 days after first accepting these Terms, with the subject line "Arbitration opt-out" and the name, firm, and account email of the Customer. An opt-out does not affect any other provision of these Terms, and a Customer that opts out remains subject to the governing-law and court provisions below.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies there, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or Confidential Information. Nothing in this Section prevents a party from reporting a matter to a government regulator or from taking action necessary to preserve a deadline.
Courts. For any dispute not subject to arbitration, including after an opt-out, the parties consent to the exclusive jurisdiction of the state courts in Westchester County, New York, or the federal courts for the Southern District of New York where federal jurisdiction exists, except where applicable law requires another forum. This Section survives termination of these Terms.
16 Changes to these Terms
We will give reasonable advance notice of material changes, generally at least 30 days, through the account or designated contact. Changes required sooner by law or to address urgent security needs may take effect sooner with appropriate notice. Material changes to a committed subscription will be subject to its order and applicable law. Where affirmative acceptance is required, we will obtain it.
Changes apply prospectively. A change that materially broadens the training permission in Section 5 applies only to Customer Content submitted after the change takes effect. Changes to Section 15 do not apply to a dispute for which notice was already given. We will identify the effective date and keep a record of the version accepted by Customer.
17 General provisions and contact
Neither party may assign this agreement without the other's consent, except to an affiliate or in a genuine merger, reorganization, or sale of substantially all relevant assets, provided the assignee assumes the obligations and the transfer complies with law. The parties are independent contractors. Delay in enforcing a provision is not a waiver. An unenforceable provision will be limited or severed as appropriate, and the remainder will continue where legally permitted.
These Terms and the applicable accepted agreements contain the parties' agreement concerning the Services. Notices may be delivered to the designated account contact, or to PledWell at afiorilla@codraftai.com and the mailing address below. Mandatory rights of individuals whose data is processed are not waived by this business agreement.
